»  Clause:  1   National Interest

The Company is committed to benefit the economic development of the countries in which it operates. It shall not undertake any project or activity to the detriment of the wider interests of the communities in which it operates.
The company’s management practices and business conduct must benefit the country, localities and communities and shall be in accordance with the laws and economic development policies of the government of each country.

»  Clause:  2   Financial Reporting & Records
The Company shall prepare and maintain its accounts fairly and accurately in accordance with the accounting and financial reporting systems of the country in which it operates.
Internal accounting and audit procedures shall reflect fairly and accurately Company’s business transactions and disposition of assets. No employee shall make / authorize/ collude in an improper payment / commissions/ bribe.
»  Clause:  3   Competitions

The Company shall support the development and operation of competitive open markets and shall promote the liberalisation of trade. Specifically, a TATA Company shall not engage in restrictive trade practices and activities that generate or support formation of monopolies, cartels and similar unfair trade practices.
The Company shall market its products and services on its own merit and shall not make unfair and misleading statements about competitors’ products or services. Any collection of competitive information shall be made only in the normal course of business – not through any clandestine means.

»  Clause:  4   Equal Opportunities Employer

The Company shall provide equal opportunities to all its employees and shall not discriminate between candidates for employment on the basis of caste, creed, religion, sex or state of origin etc. It shall promote diversity and equity in the work place as well as comply with all lobour laws and international best practices. The Company shall treat its employees with dignity. It shall ensure equity and fair play and maintain a work environment to its employees free of sexual harassment.

»  Clause:  5   Gifts & Donations

The Company and its employees shall neither receive nor offer directly or indirectly, any illegal payments, gifts or donation with a view to obtain any favour for its business beyond the customary level.

»  Clause:  6   Government Agencies

The Company and its employees shall not give any company funds or property as donations to any Govt. Agencies or officials directly or indirectly, to obtain any favourable performance of official duties. The company shall comply with government procurement regulations and shall be transparent in all its dealings with Govt. agencies as applicable.

»  Clause:  7   Political Non-Alignment

The Company shall be committed to and support a functioning of democratic constitutions and systems with a transparent and fair electoral system. The company shall not support directly or indirectly any specific political party / candidates for political office with company funds / donations.

»  Clause:  8   Health, Safety & Environment

The Company shall strive to provide a safe and healthy working environment to its employees. It shall comply with all health, safety and environmental rules and regulations. It shall have policies and processes put in place to address issues of safety, health and environment as also a disaster management system to address any natural calamities or business contingencies that may arise.

»  Clause:  9   Qualities of Products & Services

The Company shall be committed to supply goods and services of the highest quality standards backed by after-sales service consistent with the requirements of the customers to ensure them total satisfaction.

»  Clause: 10   Corporate Citizenship

The Company shall comply all relevant laws and regulations of the land / area in which it operates and shall undertake activities to improve the quality of life of the people in the communities in which it operates. It shall not undertake such activities as optional or charity. These activities should be an integral part of its business plan.

»  Clause: 11   Co-operation of Tata Companies

The Company shall co-operate with other TATA Companies by sharing knowledge, physical, human and management resources as long as this does not adversely affect its business interests.
In the procurement of products and services the Company shall give preference to another TATA company as long as this is on competitive terms suiting to its own advantage.

»  Clause: 12   Public Representations of the Company & the Group

The TATA Company honours the information requirements of the public and its stake-holders with respect to disclosing company’s business information to the public or media. However, it should be done by specifically authorized directors and / or employees.

»  Clause: 13   Third Party Representations

The Company shall not authorize its Consultants, Agents / Contractors / Suppliers to represent the company – since their business conduct may not be consistent with the Tata code.
The Third parties are expected to abide by the Tata Code in their interaction with the company.

»  Clause: 14   Use of Tata Brand

The use of Tata name and trade mark shall be governed by manuals, codes and agreements issued by Tata sons. Use of Tata Brand is regulated by the Tata Brand Equity and Business Promotion Agreement.

»  Clause: 15   Group Policies

The Company shall recommend to its Board of Directors the adoption of policies and guidelines formulated periodically by Tata Sons.

»  Clause: 16   Share-Holders

The Company shall be committed to enhance shareholders value and comply with all regulations and laws that govern share-holders’ rights. The Company shall inform duly and fairly all aspects of the Company’s business to its shareholders as required under law.

»  Clause: 17   Ethical Conducts

Every employee including whole-time directors and the CEO, shall deal with issues on behalf of the company with professionalism, honesty, integrity as well as high moral and ethical standards. Such conduct shall be fair and transparent and be perceived to be as such by third parties.
Every employee shall preserve the human rights of every individual and shall strive to honour commitments.

»  Clause: 18   Regulatory Compliance

Every employee of the company with all applicable laws and regulations both in letter and spirit in all territories in which he or she operates.

»  Clause: 19   Concurrent Employments

An employee of the Company shall not without the prior approval of the CEO, accept employment or a position of responsibility such as Consultant, Directorship of any other non-Tata Company nor provide free lance service to any one.

»  Clause: 20   Conflict of Interest

No employee shall accept a position of power/responsibility/board nomination of any other non-Tata Co., not-for-profit Organization like NGOs.
No employee shall engage in any business, relationship or activity which might detrimentally conflict with the interest of his Company/Group.
No employee shall be a party to influence a decision in award of a contract, employment, grant of remuneration, promotion to any of his/her relation. When faced with any such eventuality, the employee must full disclosure in writing to his Dept. Head/CEO.
No employee shall accept gifts, donations, hospitality and/or entertainment beyond the customary level from existing or potential suppliers, customers or other third parties who have business dealings with the Company.

»  Clause: 21   Securities Transactions & Confidential Informaton

An employee of the company and his immediate family shall not derive any benefit or assist others to derive any benefit from his access to inside information about the company.

»  Clause: 22   Protecting Company Assets

Assets of the Company such as its equipments and machineries, systems including IT systems etc. should not be misused.

»  Clause: 23   Citizenship

Employees are free to pursue an active role in civic or political affairs as long as it does not adversely affect the business or interests of the Company or the Tata Group.

»  Clause: 24   Integrity of Data Furnished

Every employee shall ensure, at all times, the integrity of data or information furnished by him to the Company.

»  Clause: 25   Reporting Concerns

Every employee shall promptly report to the Management when he or she becomes aware of any actual or possible violation of the Code, an event of misconduct act of misdemeanor or acts which are not in company’s interests which will affect the business or reputation of his / her or any other Tata group. Employees making known their concerns in this regard are protected against any adverse action from the company in terms of the existing Whistle Blower Policy.
